About the Role

The legal counsel (Intellectual Property & Corporate Registration) is responsible for handling and coordinating the Group’s intellectual property portfolio and corporate registration matters across the Group Company and its subsidiaries. The role ensures timely completion of statutory filings, regulatory registrations, corporate housekeeping activities, protection of intellectual property rights, and compliance with applicable legal and governance requirements. The position works closely with internal stakeholders, external counsel, and governmental authorities to support the Group’s legal and business objectives.



Key Responsibilities

Manage and coordinate end-to-end corporate registration and filing processes for the Group Company and its subsidiaries.
Prepare, review, and maintain corporate documentation, including board resolutions, shareholders’ resolutions, powers of attorney, meeting minutes, and other corporate records.
Handle company incorporations, branch registrations, amendments to constitutional documents, changes in directors, shareholders, and authorized signatories, capital increases and reductions, and other corporate registration procedures.
Ensure timely submission of statutory filings and regulatory notifications before relevant governmental authorities.
Maintain and organize corporate records, statutory registers, licenses, and governance-related documentation.
Coordinate with regulatory authorities, governmental bodies, notaries, and external service providers in connection with registration and compliance matters.
Manage and coordinate trademark registration, renewal, assignment, opposition, and protection processes across the Group’s jurisdictions of operation.
Conduct and coordinate trademark availability searches and preliminary clearance assessments.
Support the development, protection, maintenance, and enforcement of the Group’s intellectual property portfolio, including trademarks, trade names, copyrights, domain names, and other proprietary rights.
Monitor intellectual property deadlines, renewals, and regulatory requirements to ensure continuous protection of the Group’s IP assets.
Coordinate with governmental authorities regarding registrations, disputes, and enforcement actions.
Review, obtain, maintain, and coordinate business licenses, permits, approvals, and regulatory authorizations required for the Group’s operations.
Monitor license validity periods, renewal requirements, and regulatory obligations to ensure ongoing compliance.
Identify legal and regulatory risks and provide practical, business-oriented recommendations to mitigate exposure.
Support the implementation and maintenance of legal templates, policies, procedures, and compliance frameworks.
Assist in monitoring compliance with applicable corporate governance requirements, internal policies, and regulatory standards across the Group.
Collaborate with other members of the legal team on corporate, commercial, regulatory, and strategic legal matters.
Qualifications & Experience

Education

Bachelor of Laws (LL.B.) required.
Master of Laws (LL.M.) is preferred.
Bar admission or legal practicing license is considered an advantage.

Experience

Minimum of 2 years of relevant experience in a reputable law firm and/or in-house legal department.
Demonstrated experience in corporate registration, company secretarial matters, and corporate housekeeping activities.
Practical experience with company incorporation procedures, statutory filings, amendments to constitutional documents, director/shareholder changes, and other corporate registration processes.
Experience managing intellectual property portfolios, particularly trademark registration and protection processes.
Familiarity with governmental registration systems, electronic filing platforms, and regulatory procedures.
Experience working within technology, e-commerce, fintech, lendtech, software/SaaS, digital content, publishing, or similar industries is highly desirable.
Knowledge, Skills & Competencies

Strong understanding of corporate, commercial, and intellectual property laws and regulations.
Excellent legal drafting, contract review, and document preparation skills.
Strong analytical, organizational, and problem-solving abilities.
Ability to manage multiple projects and deadlines in a fast-paced environment.
Effective stakeholder management and communication skills.
Business-oriented mindset with the ability to provide practical legal advice.
Professional proficiency in English and excellent legal drafting skills in Persian.
High attention to detail, accuracy, and confidentiality.
