Job Description

The incumbent is responsible for collaborating and support the head of legal in advising the market/region/GSC on legal matters affecting the business. The aim is to achieve corporate and commercial objectives in a compliant manner by appropriate monitoring and management of legal risks. The job holder will also advise on regulatory related matters affecting the company, as well as a broad range of commercial matters, and will need to play a full part in the legal team, including advising on marketing, sales regulatory and competition law matters as part of that team. The job holder will assist the Head of Legal by concentrating on complex and/or high-value legal matters, whether complex regulatory issues, manufacturing arrangements, joint ventures, corporate and governance, restructurings or disputes, and litigation. On all matters, the job holder will take direct responsibility and be the point of contact for colleagues in the market/region and at a regional level. The role will provide support to the Iranian market.

Responsibility:

  • Work closely with the Head of Legal in providing solution/business-oriented legal advice across the full range of business activity where legal input (of all types) is required, which may include:
  • Advise on high-profile commercial law matters.
  • Provide support to various functions and sales channels and instruct external counsel and advisors where necessary.
  • Support the head of legal in building and maintaining strong working relationships within the market/region, region, and HQ.
  • Corporate governance matters.
  • Provide legal advice relating to the company’s current and future premises.
  • Legal advice on manufacturing of products.

Project Management:

  • Take the lead and responsibility on projects that require legal support as and when they arise including advising on employment law matters that may affect the business from time to time and which are likely to be highly confidential in nature. These projects will involve providing specialist legal support to all levels of management across the market/region.
  • Drafting, reviewing, and negotiating contracts:
  1. Purchasing and supply,
  2. Marketing,
  3. Employment,
  4. Distribution,
  5. Service agreements, etc.
  • Provide legal advice to senior management and other team members in respect of such contracts as well as management of contract life cycle.

Product Regulation:

  • Advise on product regulation, including reviewing legislation on relevant matters,
  • Inform the business on the same and/or ensuring the company and its products comply with the regulatory regime,
  • Review and approve marketing materials or projects where and when required.
  • Work collaboratively as part of the legal team to develop and provide training programs, precedents, guidance notes, and updates for commercial management and other employees.
  • Provide training to the market in respect of competition law, sanctions, commercial and employment law, tobacco marketing, or other areas as required.

Advising on General Matters:

  • Work as part of the legal team to advise and assist with general matters.
  • Advise on marketing and market research activities.
  • Advise on other areas of law as necessary, including competition law, IT, property, marketing, production, consumer protection, and health and safety.

Litigation and Arbitration:

  • Support the head of legal to represent the company's interest in litigations.

Budget Management:

  • Provide support to the head of legal in budget management.

Requirements:

Education:

  • A university degree in Law from a well-known university

Work Experience and Competence:

  • A qualified lawyer with at least 3 years first-class experience from a top city or regional firm, or in-house with an FMCG company, ideally with experience in advising on commercial contracts, and regulatory matters.

Languages and Computer Skills:

  • Fluent in English.
  • Practical knowledge of MS Office, especially PowerPoint, and Excel.
